1. General Overview

These Terms & Conditions describe how SellNService,” a business operated by BuyBacKart E Waste Solution Pvt Ltd., with its registered office at 115, 1st Floor, DLF Prime Towers, Mata Mohalla, Pocket F, Okhla Phase I, Okhla Industrial Estate, New Delhi-110020, India (`SellNService,` `we,` `our,` or `us`), collects, uses, discloses, and protects the personal information of users (you" or user") through our website, mobile application, and related services. Our online services commenced in 2020, and we currently operate across more than 22 cities in India.

By accessing, browsing, or using any of our services, including but not limited to our official website, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy (available separately on our website). If you do not agree to these terms, you must not use our services.

2. Seller Obligations and Representations

2.1. Legal Competence and Age:

The Seller must be a natural person aged 18 years or older or a legal entity duly incorporated and authorised to enter into binding agreements under Indian law. The Seller affirms that they are legally competent and of sound mind to enter into this agreement.

2.2. Identity Verification:

The Seller must present a valid, government-issued identification document (e.g., Aadhaar Card, Passport, Voter ID Card, or, in the case of a business, relevant incorporation documents and authorised signatory details) at the time of transaction. SellNService reserves the right to retain copies of such documents for record-keeping and legal compliance.

2.3. Lawful Ownership and Origin of Device:

1. The Seller explicitly represents and warrants that they are the sole, lawful, and undisputed owner of the electronic device being sold or are duly authorised by the legal owner to sell the device.
2. The Seller guarantees that the device has been acquired through legal means and is not obtained, directly or indirectly, through theft, fraud, cloning, misappropriation, or any other illegal activity
3. The device must have been originally purchased in India. Devices obtained as gifts, donations, or through specific schemes (e.g., government welfare programs, NGO distributions, corporate employee benefit schemes, promotional giveaways) will not be accepted
4. The Seller shall be solely responsible for any legal consequences, civil or criminal, arising from any misrepresentation of ownership, illegal origin, or any third-party claims related to the device. SellNService shall have the right to report such instances to the relevant law enforcement authorities.

2.4. Data Deletion:

The Seller is solely responsible for backing up and permanently deleting all personal, sensitive, confidential, or proprietary data, information, and content (including but not limited to contacts, messages, photos, videos, applications, and account details) from the electronic device before handing it over to SellNService. SellNService assumes no responsibility or liability for any data loss, data breaches, or unauthorised access to data that may occur due to the Seller's failure to adequately delete such data. The Seller indemnifies SellNService against any claims arising from such data.

2.5. Device Condition and Description Accuracy:

The electronic device must be in the exact condition as described by the Seller during the initial offer or quotation process. Any discrepancies in condition, missing parts, functional defects not disclosed, or differences in model/specification may lead to a revised offer or outright cancellation of the transaction by SellNService at its sole discretion.

3. Inspection, Pickup, and Acceptance

3.1. Right to Inspect:

SellNService reserves the unconditional right to inspect, test, and verify the electronic device, its condition, and functionality at any stage, including but not limited to before pickup, during pickup, and after pickup at our facility.

3.2. Consequences of Defects/Discrepancies:

1. The Seller explicitly represents and warrants that they are the sole, lawful, and undisputed owner of the electronic device being sold or are duly authorised by the legal owner to sell the device.
2. In cases where payment has already been made, SellNService reserves the right to reclaim the full purchase amount from the Seller. The Seller is obligated to return the amount within a specified timeframe (e.g., 3 business days) upon demand from SellNService.
3. SellNService shall also be entitled to recover from the Seller all costs, damages, and losses incurred, including but not limited to transportation costs, inspection charges, handling fees, storage charges, legal fees, and any other incidental or consequential losses.

3.3. Pickup Protocol:

1. At the time of pickup, the person whose name is on the invoice or who has been duly authorised by the Seller (with valid proof of authorisation) must be physically present to facilitate the handover.
2. The electronic device must only be handed over to a verified SellNService employee or authorised representative. The Seller must verify the identity of the individual by checking their official SellNService identification card/badge.
3. SellNService shall not be held responsible or liable for any electronic devices handed over to unauthorised persons who are not official representatives of the company.
4. The Seller must provide the original purchase invoice or valid proof of ownership (e.g., bill of sale, warranty card) for the electronic device at the time of pickup. Failure to produce such proof may result in cancellation of the transaction.

4. Payment Terms

4.1. Mode of Payment:

Payment for accepted electronic devices will be processed only to the verified bank account of the legal owner of the device or an authorised seller, as identified through the provided government-issued identification and ownership documents. Cash payments are generally not made for security and compliance reasons.

4.2. Revocation/Cancellation of Payment:

Any payment made by SellNService for a purchased device is conditional and subject to the device being verified as legitimate, non-fraudulent, and as per the Seller's description. If, after payment, the device or any associated product is found to be fraudulent, illegal, stolen, counterfeit, or not matching the description, SellNService reserves the absolute right to revoke, cancel, or recall the payment.

4.3. Seller's Liability for Illegal Products:

The Seller shall be solely and exclusively responsible and liable for any fraudulent, illegal, or misrepresented product. In such cases, the Seller is obligated to immediately refund the entire amount of credit/payment received from SellNService, along with any additional costs, damages, or legal expenses incurred by SellNService, as outlined in Clause 3.2(c).

5. Legal Declarations and Indemnification by the Seller

By initiating a transaction with SellNService and selling your electronic device, you hereby irrevocably confirm, declare, and agree to the following:

5.1. You are legally competent and of sound mind and are 18 years of age or older (or a duly authorised legal entity).

5.2.All information, representations, and documents you have provided to SellNService (including but not limited to your identity, ownership, and device details) are true, accurate, complete, current, and genuine.

5.3.You are the rightful, lawful, and undisputed owner of the electronic device, with full marketable title, and have the unencumbered right to sell the device. The device is free from any liens, charges, encumbrances, or third-party claims.

5.4.You agree to unconditionally indemnify, defend, and hold harmless SellNService, its proprietors, employees, agents, and affiliates from and against any claims, liabilities, losses, damages, costs, expenses (including reasonable legal fees), actions, or proceedings arising out of or related to:

1. Your breach of any of these Terms & Conditions.
2. Any misrepresentation, fraud, or negligence on your part.
3. Any third-party claims concerning the ownership, origin, condition, or legal status of the electronic device sold by you.
4. Any data loss or breach resulting from your failure to delete personal data from the device.
5. Any violation of applicable laws, rules, or regulations by you.

5.5.The electronic device is not cloned, stolen, counterfeit, or illegally modified and does not contain any unlawful, obscene, defamatory, or infringing content.

5.6.You have permanently deleted all personal data, sensitive personal data, and confidential information from the device and have removed all SIM cards, memory cards, or other removable media.

5.7The device is in good working condition, consistent with the description provided by you during the transaction process, and free from undisclosed defects.

5.8.Once the electronic device has been sold to and accepted by SellNService, it shall not be returned to the Seller under any circumstances, unless explicitly agreed upon in writing by SellNService or mandated by a court order.

5.9.You explicitly consent to receive communication from SellNService, including transactional updates, service-related information, and promotional offers, through the contact details (including phone number and email address) you have provided. This consent overrides any registration on the National Do Not Call Registry (NDNCR) for communications related to this transaction.

5.10.You are entering into this agreement voluntarily, without any coercion, force, undue influence, misrepresentation, or mistake.

6. Miscellaneous Provisions

6.1. Right to Accept/Reject:

6.1.SellNService reserves the absolute and sole discretion to accept or reject any electronic device or cancel any transaction for any reason whatsoever, including but not limited to suspicion of fraud, violation of these Terms, or market conditions, without providing prior notice or explanation.

6.2. Suspicious/Fraudulent Transactions:

Any transaction deemed suspicious, fraudulent, or in violation of applicable laws may be cancelled immediately without prior notice. SellNService reserves the right to report such transactions and relevant information to law enforcement agencies and to pursue all available legal remedies.

6.3. Amendments:

These Terms & Conditions may be updated, modified, or amended by SellNService from time to time, without prior notification to the Seller. The updated Terms will be effective upon posting on our official website. It is the Seller's responsibility to review these Terms periodically for any changes. Continued use of our services after any such modifications shall constitute your consent to such modifications.

6.4. Governing Law and Jurisdiction:

These Terms and any disputes arising out of or in connection with them shall be governed by and construed by the laws of India. The courts in Delhi, India, shall have exclusive jurisdiction to entertain any suit, application, or other proceedings arising out of or in connection with these Terms or the services provided by SellNService.

6.5. Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

6.6. Force Majeure:

SellNService shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.

6.7. Entire Agreement:

These Terms, along with our Privacy Policy, constitute the entire agreement between the Seller and SellNService concerning the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.
